Learning Outcome Goals

Primary Goals

  • Students will gain familiarity with all the basic components of the M&A practice, including understanding the applicable state and federal legal framework and precepts, the abcs of public cash deals, and the topical issues of concern to boards of directors, general counsel and practicing lawyers
  • Students will gain familiarity with the basic documentation of a public company deal, including ndas, merger agreements and proxy statements
  • Students will acquire experience with basic lawyering skills, including oral advocacy and presentations, writing emails to clients, drafting issues lists and agreements and negotiating on behalf of clients
