Cross-Border Transactions - Doing Business in India
The purpose of this Seminar is to introduce students to legal aspects of international business and investment transactions in India and to provide a legal practitioner's perspective on the issues that arise in doing cross-border transactions involving India. This Seminar will attempt to provide the students the information and the skills required of lawyers who advise clients in such transactions. The Seminar will not attempt to cover all relevant regulations but rather to focus on a number of salient aspects of doing business in India, including an overview of the regulatory framework for doing business in India, a review of the key trends in U.S.-India business, trade and commercial transactions, a review of cultural differences and how they impact the work of the practitioner, a study on the formation of business entities in India, a review of the framework for foreign investment in India, equity and debt funding mechanisms to fund businesses in India, common tax issues in doing business in India, dispute resolution mechanisms, infrastructure investments and related issues.
The Seminar will also focus on deal making (including due diligence), deal structuring, deal protection and other common issues in public and private M&A transactions in India.
The Seminar will conclude with an interactive mock negotiation of a cross-border transaction involving India.
Students will be graded based on (i) Class participation (45%) and (ii) one 20 page Research Paper (55%).
A prior course in Corporations and Contracts is recommended.
