This is a course about the law and ethics of lawyering. It surveys the laws, disciplinary rules, and principles governing the practice of lawyers and the organization of the legal profession. Topics include the allocation of regulatory authority over the legal profession, confidentiality, conflicts of interest, complicity in client illegality (with special attention to fraud and obstruction of justice), and restraints on the marketing of legal services. A major focus is on lawyers in business practice, but we also consider problems distinctive to government practice and criminal defense.
